>> Okay, so the focus of the market right now is Decoy Therapeutics Inc., ticker DCOY. This is the company—well, it's the entity that resulted from that complex reverse merger with Solaris Pharmaceuticals, which finalized with the ticker switch on January 8th of this year. We saw some really volatile price action right after that transition, a brief sharp move of nearly 29% from low to high on pretty significant retail volume before institutional selling pressure just quickly faded the whole surge. The stock's now trading around the 80 cent level. And the core attention here is, I mean, it's obvious and severe. We have an intriguing, externally validated scientific platform sitting inside a deeply distressed and, frankly, financially engineered corporate shell. The market is struggling to reconcile these two realities. So, the question for us today is pretty simple.

>> Is DCOY an undervalued biotech company that's poised for a real revaluation based on its science, or is it just fundamentally uninvestable because of its toxic financing structure? I believe the market is drastically under crediting the inherent scientific promise here.

>> I come at it from a different way, and while I do acknowledge the scientific intrigue and we can get into the merits of the platform, DCOY is at this moment less a biotech investment and more a case study in distressed financial engineering. It seems intended to extract value through volatility. I mean, the underlying vehicle is a legacy public shell, Solaris, that has historically declined by over 95%. And this baggage, it's not just historical sentiment; it's structural and it's enduring. We have a clear pattern of value erosion shown by four extreme reverse stock splits since 2019, including a devastating one for 25 in 2022, a one for eight in 2024, and then a one for 15 just last August. These moves exist for one reason: to shrink the common share count so the remaining sliver stays big enough to meet Nasdaq's minimum bid requirement.

>> They signal a chronic failure to generate any organic value, and they ensure that common shareholders bear all of the downside risk with a profoundly capped upside. The financial architecture just makes sure any value extracted goes to propping up the structure, not enriching the common float.

>> That's an interesting point, though I would frame that history a little differently. While the reverse splits are, you know, certainly concerning, the merger itself has to be viewed not just as a continuation of distress, but as a necessary survival mechanism. It was a strategic pivot. It was really the only way to rescue the public shell by injecting it with a viable asset and a whole new narrative: AI-driven peptide conjugates. And that asset came with external validation. Now, let's just look at the immediate financial anomaly that to me screams mispricing. DCOY has a pro forma cash position of approximately $14 million. This is right from the merger filings. Against that cash, we see a market cap that's hovering around what, 4.8 to $5 million. This creates a significant negative enterprise value.

>> Right.

>> In a rational market, if we ignore the structural noise for just a moment, having cash reserves that substantially exceed the entire market capitalization is a fundamental buy signal. This makes the company attractive to two distinct types of buyers: either a scientific strategic partner looking for cheap IP, or sophisticated distressed asset manager who recognizes the—well, the sheer absurdity of paying less than 50 cents on the dollar for the cash itself. This discount cannot hold indefinitely.

>> But the market isn't irrational. It's pricing in the structural certainty of dilution. The sophisticated players you're referencing, the arbitrage funds, they're the ones driving the price right now.

>> I agree they're active, but what the market is failing to fully credit is the scientific validation that underpins the asset. The IMP3 Act platform, which focuses on these peptide lipid conjugates for pan-viral threats, has received crucial external support. Specifically, a $4.98 million grant from the Bill and Melinda Gates Foundation. This isn't just a small cash infusion. It's powerful reputational validation. It signals that a third-party known for its rigorous scientific due diligence has vetted the science and deemed the technology plausible. I mean, the platform is designed to anchor peptides into cell membranes to block viral fusion, a potentially innovative mechanism. I argue the current massive discount reflects only the inherent risk of its preclinical status, and it completely ignores the intrinsic validated value of a platform that has passed Gates Foundation scrutiny.

>> I see why you rely on that validation, but let me give you a different perspective on why the market remains so bearish. And it brings us directly to the death spiral mechanism inherent in the Series A and Series B convertible preferred stock.

>> The infamous shadow float.

>> It's far more insidious than just a shadow float. It's a mechanism that effectively guarantees catastrophic dilution for the common shareholder under the slightest duress. Specifically, we have to talk about the full ratchet price protection provision. So, the preferred investors, the ones holding the Series A and B stock, they initially came in at a specified conversion price. Let's just use the assumed 150 range for argument's sake. The full ratchet provision mandates if the company is later forced to issue even a single share to a new investor at a significantly lower price, say at 50 cents, the conversion price for all existing Series A and B preferred shares instantly resets downward to that lower price.

>> And just to clarify that for listeners, imagine you hold a mortgage where if your house value drops, the principal amount of your mortgage automatically increases. These investors get a proportional tripling of the shares they're entitled to upon conversion, which creates immediate catastrophic dilution for the common shareholder.

>> Exactly. And this is precisely the mechanism sophisticated short sellers are keenly aware of. They use it to drive the price down, forcing the company to the financial brink, and triggering the need for a cheap financing that in turn triggers the ratchet. It's a self-fulfilling prophecy designed to transfer value from the common float to the preferred holders.

>> I'm not totally convinced by that line of reasoning because it ignores the extremely high immediate cost that's borne by those short sellers, and that overlooks the arbitrage opportunities that arise from that cost. The market is absolutely aware of the shadow float and the impending supply shock expected post shareholder vote, likely early this year, when those preferred shares convert. However, the unprecedented high annualized cost to borrow—I mean, data shows the CTB spiking recently to between 307 and 309%. That tells a story of extreme scarcity and trapped capital.

>> It certainly indicates scarcity, but doesn't the high CTB also reflect that the market believes a conversion event is imminent, and therefore the demand to short the common stock is overwhelming?

>> It reflects overwhelming demand, yes, but it also reflects a scarcity of available common shares. This means the shorts are paying a staggering interest rate, literally over $30,000 per year, just to borrow $10,000 worth of stock. Rational actors only maintain such an expensive short position for a few reasons: they are certain of a massive collapse, they're hedging a preferred position, or they're pure arbitrageurs waiting for the conversion. For the common shareholder, this high CTB means that the limited float is coiled, and any genuine positive catalyst, like the expected investigational new drug filing within the next 12 months, could trigger a violent upward reaction. The shorts are trapped by that cost of carry, making a tactical squeeze a high probability trade before the massive dilution hits.

>> But, how many common shares can they actually borrow even at that rate? Isn't the risk here that the preferred shares convert before a squeeze is even possible, making the cost of borrow irrelevant? The arbitrageurs are already using high dark pool volume, meaning trades off exchange, to hedge and suppress common pricing without causing huge swings in the lit market. They are carefully managing their short risk in preparation for the eventual dilution. The sheer complexity of that financial engineering ensures they maintain control regardless of the high CTB.

>> That's a fair point on the arbitrage activity, but the clock is ticking for the company regardless of the shorts. And that brings us to the fundamental asset itself, and whether the science can mature fast enough to escape the financial gravity.

>> Yes, even if the shorts are momentarily trapped, the financing structure dictates the timeline for proving the science. Let's focus on the asset quality and commercial reality. The Gates Foundation backing is significant reputational validation, I'll give you that. But, the $4.98 million monetary value is small when you consider the cost curve of biotech R&D. A single phase one human trial can easily cost upwards of $10 million. The company has $14 million in cash. They have a very narrow runway.

>> But we have to look at the valuation gap relative to technological peers. DCOY's sub $5 million valuation is an outlier. Compare it to Nanoviricides, NNV, which is a peer also working in the antiviral space. NNV is currently commanding a market cap of about $24 million. And that premium exists largely because NNV has successfully engaged the FDA and entered human trials. Successfully transitioning DCOY's MP3 Act platform into the clinic could fundamentally yield a three to fivefold revaluation based on this peer analysis alone. That gap represents the intrinsic value the market is completely missing.

>> I'm sorry, but I just don't buy that the market is wrong here. The science is preclinical, which means it carries a historic attrition risk—the likelihood of failure—of, well, historically less than 10%. Furthermore, the Gates Foundation grant comes with a critical string attached: a global access commitment. This requires Decoy to provide the technology at low cost to developing nations, which severely limits the profit margin on a huge portion of the potential global market.

>> But that commitment doesn't preclude enormous commercial upside in Western markets where profit margins are protected.

>> While true, the commercial upside depends entirely on those Western market rights, and the grant funding doesn't fully cover the development to secure those rights. The $14 million cash they have will be burned rapidly accelerating IND preparation. Management guidance suggests they plan to file the IND within the next 9 to 12 months. This forces the company into another catastrophic capital raise very quickly, likely coinciding perfectly with the conversion and the dilution, which triggers that full ratchet provision we just discussed. The timing is terrible. The science has a tight, unforgiving deadline imposed by the balance sheet.

>> The path is narrow, I'll grant you, but the CEO's profile suggests he is uniquely skilled at navigating exactly this type of high-stakes path toward an engineered exit. And this leads us right to the assessment of management.

>> My perspective on management, uh, diverges pretty significantly from yours. While his proponents highlight his successful deal making, CEO Rick Pierce's operational track record reveals a disturbing pattern of liquidation and, frankly, value destruction for common equity holders.

>> You're referring to his time at Glycogenesis and Symbiosis.

>> Precisely. Pierce served as CEO of Glycogenesis, which filed for Chapter 7 bankruptcy, a complete liquidation, where common equity holders were wiped out. Similarly, Symbiosis Genetics, where he was president, was delisted and ultimately liquidated its assets. This pattern suggests that Pierce is an expert specializing in distressed assets and high-cost capital raises. His history implies that the current strategy isn't about building a sustainable long-term pharma company, but rather engineering a calculated sale or bust scenario designed primarily to protect preferred investors and institutional creditors. The risk is immense. If the sale doesn't happen on their timeline, the common shareholder gets wiped out.

>> To recontextualize that track record: Yes, his history is complex and includes liquidations, but it also includes significant success. I mean, notably, his tenure at Javelin Pharmaceuticals, which was successfully acquired by Hospira, now part of Pfizer, for $145 million. This demonstrates that he is an expert deal maker and a crisis manager who knows how to successfully engineer an exit, often under duress, to secure returns. Isn't an engineered sale in this specific context exactly what early speculative investors should want? He's an exit specialist, not a builder. His ability to raise over $335 million in access, which is essential for steering DCOY through this valley of death moment. The reverse merger was the high-stakes move, and the next step is securing a strategic partnership or buyout to monetize the Gates-validated asset. If that happens, the risk of buying a negative enterprise value asset is justified.

>> But that Javelin example stands in stark contrast to the majority of his history. The liquidations demonstrate that when the exit fails, management's priority is protecting the capital structure, which often means decimating the common shareholders. The current DCOY structure with that full ratchet perfectly mirrors an arrangement designed to facilitate a rapid, controlled sale, or failing that, a managed collapse that protects the preferred holders. The common stock is merely the volatile float used to facilitate the transfer of value. It's frankly a miserable structure for a common investor designed to punish optimism.

>> It is a high-stakes poker game unfolding in slow motion, certainly. The investor has to choose whether they are betting on the manager's ability to pull off another Javelin-style exit or on the structural inevitability of that ratchet.

>> So, we've covered the structural risk in the financing and the tight timeline. To summarize my core thesis, the complexity and risk inherent in the full ratchet capital structure, they just overwhelm any scientific potential at this early stage. The risk of massive immediate dilution, which is a structural certainty contingent only on the need for new capital, combined with the historical pattern of liquidation under this management, makes this stock overwhelmingly favorable to sophisticated arbitragers. These funds use high dark pool volume and hedging to extract value from volatility rather than for common equity holders who are exposed to the full downside. The dilution is priced in for a reason.

>> And my thesis remains: despite the severe structural obstacles imposed by the legacy of Solaris and the current preferred stock provisions, the fundamental scientific asset validated by the Gates Foundation and the compelling undervaluation, specifically the negative enterprise value, provide a substantial upside reward for the highly speculative investor. Furthermore, the tactical short squeeze remains a high possibility given the astronomical cost to borrow, creating a potential inflection point before the full conversion hits. The risk-reward calculus here, if you have conviction in the near-term catalyst, I think favors the reward.

>> It's clear DCOY remains a fierce battleground stock where the immediate mechanics of finance are currently outweighing the longer-term promise of science. The market's current price action, sitting near 80 cents, reflects this deep uncertainty. The battle is between the undeniable value of the IP and the crushing weight of the balance sheet.
